1. Who We Are
California Academy of Management ("we," "us," "our," or "the Academy") is a trade name operated by Replatform, a company registered in Hong Kong (Company Registration No: 41608786-000). We are a fully online private professional training provider. We are not a university, college, or government-recognised educational institution. We hold no educational licence or accreditation in any country.
Our website is located at californiaacademy.net (the "Site"). These Terms of Service ("Terms") govern your access to and use of our Site and all programs, courses, and services we offer (collectively, the "Services").
2. Acceptance of Terms
By accessing the Site, creating an account, or enrolling in any program, you confirm that you:
- Are at least 18 years old (or the age of majority in your jurisdiction, if higher)
- Have read, understood, and agree to be bound by these Terms
- Have read and understood our Accreditation Disclaimer and our Privacy Policy
If you do not agree to these Terms, do not use the Site or enroll in any program.
3. Nature of Our Programs and Certificates
3.1 Our programs result in a certificate or diploma issued solely by California Academy of Management / Replatform. These are not academic qualifications. They are private certificates of completion issued by a private company.
3.2 We are not accredited by any regional, national, or programmatic accrediting body recognised by any government authority in any country, including but not limited to the U.S. Department of Education, the Hong Kong Education Bureau, or any European qualification authority.
3.3 Our certificates cannot be used for academic credit, immigration purposes, government employment, or professional licensing in any jurisdiction.
3.4 We make no guarantees regarding:
- Employer recognition of our certificates
- Career advancement, job placement, or salary increases
- Equivalence of our programs to any regulated qualification
3.5 The value of our certificates is determined solely by individual employers, and we have no control over or responsibility for how any employer assesses them.
4. Account Registration
4.1 You must provide accurate, current, and complete information when creating an account.
4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.3 You must notify us immediately at support@californiaacademy.net if you suspect unauthorised access to your account.
4.4 We reserve the right to suspend or terminate your account if we determine that information provided is inaccurate, misleading, or in violation of these Terms.
5. Enrollment and Payment
5.1 Program fees are displayed in full on the program page before you complete enrollment. By completing payment, you agree to pay the stated fee.
5.2 Fees are charged in the currency displayed at checkout. Exchange rate fluctuations and bank fees are your responsibility.
5.3 We use third-party payment processors. We do not store your full payment card details. Payment processing is subject to the terms and privacy policy of our payment processor.
5.4 We reserve the right to modify program fees at any time. Any fee change will not apply to enrollments already completed.
6. Refunds
All fees paid to California Academy of Management are non-refundable once payment has been processed, except at our sole and absolute discretion as described in our Refund Policy.
Purchasing a program means you understand and accept that fees will not be automatically returned. Exceptions may be considered on a case-by-case basis, but we are under no obligation to grant them.
Nothing in this clause affects any mandatory rights you may have under the laws of your jurisdiction that cannot be excluded by contract.
7. Access to Course Materials
7.1 Upon successful payment, you will be granted a personal, non-transferable, non-exclusive licence to access the course materials for the enrolled program.
7.2 Access is granted for the duration specified on the program page, or if no duration is specified, for 12 months from the date of enrollment.
7.3 You may not share your account, your login credentials, or course materials with any other person.
7.4 You may not reproduce, distribute, record, resell, sublicense, or use course materials to train any artificial intelligence model without our prior written consent.
8. Intellectual Property
All content on the Site and within our programs — including text, video, audio, graphics, assessments, and AI-generated reports — is the property of Replatform or its licensors and is protected by copyright and other intellectual property laws. Your enrollment does not transfer any ownership rights to you.
9. Prohibited Conduct
You agree not to:
- Use the Site or Services for any unlawful purpose
- Impersonate any person or misrepresent your affiliation with any entity
- Attempt to gain unauthorised access to any part of the Site or its systems
- Use automated tools (bots, scrapers) to extract content from the Site
- Resell, redistribute, or commercially exploit any course materials
- Post or transmit any content that is defamatory, offensive, or infringes third-party rights
- Misuse or falsely represent our certificates (e.g., claiming they are government-recognised)
We reserve the right to terminate your access immediately and without refund if you breach this clause.
10. Disclaimer of Warranties
The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that:
- The Site will be uninterrupted or error-free
- Course materials are free from inaccuracies
- Completion of any program will result in any particular outcome
To the fullest extent permitted by applicable law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
11.1 Our total liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the amount you paid us for the specific program giving rise to the claim in the 12 months preceding the claim.
11.2 We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, loss of employment, or reputational harm, even if we have been advised of the possibility of such damages.
11.3 Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
12. Governing Law and Dispute Resolution
12.1 Governing Law: These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.
12.2 Informal Resolution: Before initiating any formal proceedings, you agree to first contact us at legal@californiaacademy.net and allow 30 days for us to attempt to resolve the dispute informally.
12.3 Arbitration: If a dispute cannot be resolved informally, it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its administered arbitration rules in force at the time. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English.
12.4 Consumer Rights Reservation: Nothing in this clause limits any mandatory consumer protection rights you may have under the laws of your country of residence that cannot be displaced by contract.
13. Changes to These Terms
We may update these Terms at any time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the Site after that date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.
14. Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
